📜 EduTrack LMIS Software License & Legal Notice

1. Introduction

This License Agreement governs the use of the EduTrack Learner Management Information System (LMIS) developed and owned by Long Haul Solutions (Pty) Ltd, a registered company in the Republic of South Africa. By using, installing, or accessing the LMIS, you agree to the terms set out in this license.

2. Ownership & Intellectual Property

All components of the LMIS—including but not limited to its source code, interface designs, data structures, software architecture, documentation, and custom integrations—are the exclusive intellectual property of Long Haul Solutions (Pty) Ltd.

Unauthorized use, reproduction, redistribution, or modification of any part of this system is strictly prohibited and may result in legal action.

3. Grant of License

Long Haul Solutions grants the client a non-exclusive, non-transferable, revocable license to use the LMIS for internal administration, learner tracking, academic reporting, and compliance management within their organization.

The license may include the following features based on agreement:

• Learner Management
• Program Management
• Certification Management
• Training Interventions
• Assessment Tracking
• Reports & Compliance Tools
• Multi-organization or Role-based Access Control

This license does not grant the right to:

• Resell, sublicense, or rebrand the LMIS
• Host it for third-party clients without approval
• Reverse engineer, disassemble, or modify the code beyond agreed scope

4. Branding & Trademark

“EduTrack LMIS”, its logo, user interface, and layout are proprietary assets of Long Haul Solutions. Use of these outside the licensed environment requires written consent.

The system is not affiliated with the QCTO. It is an independent tool built to align with QCTO standards.

5. Support & Maintenance

Support is offered based on the service level agreement (SLA), which may include:

• Security Updates
• System Backups
• Technical Support
• Custom Features

Non-payment or breach of agreement may result in license suspension or termination.

6. Limitation of Liability

The LMIS is provided “as-is” with no warranties. Long Haul Solutions is not liable for damages arising from:

• Data loss
• Downtime
• System misuse
• Third-party conflicts

Clients are responsible for training staff, securing data, and maintaining compliance.

7. Termination

Access may be revoked if:

• Terms are violated
• Payments are missed
• Unauthorized modifications are made

Upon termination, all LMIS use must cease, and instances removed unless otherwise agreed in writing.

8. Governing Law

This license is governed by the laws of the Republic of South Africa. All disputes shall fall under South African jurisdiction.
